The Department of Registrar of Companies of Sri Lanka has now confirmed the effective date for the new beneficial ownership submission requirements adopted in 2025.

For all newly incorporated companies, this submission is effective 30 March 2026 (Companies (Beneficial Ownership) Regulation No. 1 of 2026). Following incorporation and payment of the applicable incorporation fees, companies are required to submit information relating to:

• Beneficial ownership
• The authorized person of the company

Submissions must be completed through the official Beneficial Ownership (BO) portal using Form BO1 and Form BO5.

All existing companies should submit their Beneficial Ownership details through Form B07 and appoint an authorized person (Form B05) as soon as possible.
