Argentina’s Public Registry of Commerce of the City of Buenos Aires (IGJ) has introduced amendments to General Resolution 15/2024 through General Resolution 3/2026, published on 13 May 2026. The amendments are intended to simplify registration procedures, reduce compliance costs, and eliminate formal requirements considered unnecessary for registry control or publicity purposes.

Key Changes

Expanded Grounds for Review of Registry Observations

Companies may now request review by a higher-ranking authority in additional situations, including contradictory observations between inspectors and observations exceeding the authority granted under applicable law.

Simplified Director Appointment Registration

The amendments simplify the rules for proving continuity in director appointments, especially in renewal or replacement situations.

Updated Directors’ Guarantee Regime

The resolution maintains the simplified guarantee regime introduced by General Resolution 1/2026 and further reduces formal requirements relating to prequalification reports.

More Flexible Remote Meeting Rules

Companies may now hold remote meetings by default, unless expressly prohibited by the bylaws. The amendments also relax certain technical and procedural requirements applicable to remote meetings.

Simplified Rules for Appointment and Resignation of Directors

The amendments streamline procedures relating to the acceptance, resignation, replacement, and registration of directors, including the recognition of electronic domiciles and a formal mechanism for registering unaddressed resignations.

The changes should make IGJ filings quicker, simpler and less formalistic, while giving companies more flexibility in corporate governance matters.
