Saudi Arabia has approved governance regulations for four Special Economic Zones (SEZs): the King Abdullah Economic City (KAEC) SEZ, Ras Al-Khair SEZ, Jazan SEZ, and the Cloud Computing and Information Technology SEZ.
The regulations were approved under Cabinet Decision No. 468/1447 on 30 December 2025 and published in the Official Gazette on 16 January 2026. The frameworks entered into force on 16 April 2026.
The development represents a significant step in the implementation of Saudi Arabia’s SEZ programme, moving the regime toward a more operational legal and regulatory framework for companies established within the zones.
Key Regulatory Developments
The new frameworks establish a distinct operating regime for qualifying SEZ entities, including:
- Exemptions from certain provisions of the Companies Law, Commercial Register Law, and Trade Names Law
- Introduction of a separate commercial registration framework for SEZ companies
- Recognition of shareholders’ agreements and family charters prevailing over constitutional documents
- Simplified licensing and operational procedures
The regulations also confirm that companies established within the SEZs will generally operate as limited liability companies, subject to implementing rules to be issued by the Economic Cities and Special Zones Authority (ECZA).
Sector-Specific Focus
Each SEZ is intended to support specific strategic sectors:
- KAEC SEZ: logistics, automotive, pharmaceuticals, MedTech, and manufacturing
- Ras Al-Khair SEZ: maritime industries and shipbuilding
- Jazan SEZ: logistics, food processing, and metals conversion
- Cloud Computing and Information Technology SEZ: cloud and digital infrastructure activities
Investor Considerations
The frameworks contemplate tax, customs, and operational incentives for qualifying entities, including certain withholding tax and VAT benefits, subject to applicable conditions and implementing rules.
