Jersey: Disqualification of sanctioned directors

From 1 June 2026, directors and managers subject to UK director disqualification sanctions are automatically removed from office in Jersey, with personal liability for any liabilities incurred while acting disqualified.

Background

Jersey had previously prohibited UK-designated persons from acting as directors or managers, but without automatic disqualification an interim General Licence allowed affected directors to remain in place while primary legislation was amended.

That gap has now been closed by the Companies (Jersey) Amendment Law 2026, and the interim General Licence was revoked with effect from the same date.

 

Automatic Disqualification from 1 June 2026

  • Loss of office – A person appointed as a director of a company, or as a manager of a limited liability company, ceases to hold office by virtue of that appointment if they are or become subject to director disqualification (DD) sanctions.
  • Personal liability – Any liabilities of a Jersey company, body corporate, or limited liability company incurred while a director or manager was acting in office while disqualified attach to that person personally.
  • Alignment with the UK – The law brings Jersey’s measures into line with those already in force in the UK.
  • Identifying affected persons – The UK Sanctions List, available on GOV.UK, provides an up-to-date record of persons subject to director disqualification (DD) sanctions.
  • Reporting breaches – Suspected breaches of sanctions in Jersey should be reported to the Minister at sanctions@gov.je using the sanctions compliance reporting form.

 

Impact and Compliance Risk

Any director or manager subject to director disqualification (DD) sanctions automatically loses office from 1 June 2026, with no interim licence available to preserve their position, and continuing to act while disqualified now carries personal liability for the entity’s liabilities.

Entities should verify whether any director or manager appears on the UK Sanctions List and act promptly where a designation applies.
